Welcome to PRESTIX. These Terms of Service ("Terms") govern your access to and use of the PRESTIX website, mobile applications, and services (collectively, the "Platform").

By accessing or using our Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our Platform and updating the "Last Updated" date. Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms.

To use our Platform, you must:

•Be at least 16 years of age (or the age of majority in your jurisdiction) •Have the legal capacity to enter into a binding agreement •Not be prohibited from using the Platform under applicable laws •Provide accurate and complete registration information

If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Account Registration: To access certain features of our Platform, you must create an account. You agree to: •Provide accurate, current, and complete information •Maintain and promptly update your account information •Keep your password secure and confidential •Notify us immediately of any unauthorized access

Account Responsibility: You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

Account Termination: We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms. You may also delete your account at any time through your account settings.

Purchasing Tickets: When you purchase tickets through our Platform: •You agree to pay the ticket price plus any applicable fees •All sales are final unless otherwise stated by the event host •Tickets are subject to availability and may sell out •We are not responsible for sold-out events or ticket availability

Ticket Delivery: •Tickets are delivered electronically via email and/or the Platform •You are responsible for ensuring you can receive and access your tickets •Lost or deleted tickets may be retrievable through your account

Ticket Restrictions: •Tickets are for personal use only unless otherwise specified •Commercial resale of tickets is prohibited •Tickets may not be used for advertising or promotional purposes without authorization •Duplicate tickets are void

Refunds and Cancellations: •Refund policies are set by individual event hosts •If an event is cancelled, you will receive a refund as determined by the host •Processing fees may be non-refundable •Refunds are processed to the original payment method

Host Responsibilities: If you use our Platform to host events, you agree to: •Provide accurate event information (date, time, venue, description) •Honor all tickets sold through our Platform •Comply with all applicable laws and regulations •Maintain appropriate insurance and permits •Respond to attendee inquiries in a timely manner

Host Fees: •We charge fees for our services as outlined on our pricing page •Fees are deducted from ticket sales before payout •You are responsible for any taxes on your earnings

Payouts: •Payouts are processed according to our standard schedule •You must provide accurate banking information •We may withhold payouts if we suspect fraud or Terms violations

Event Cancellation: •If you cancel an event, you must notify attendees and process refunds •Repeated cancellations may result in account suspension •We are not liable for losses resulting from event cancellations

You agree not to:

General Prohibitions: •Violate any applicable laws or regulations •Infringe on the rights of others (intellectual property, privacy, etc.) •Post false, misleading, or fraudulent content •Harass, abuse, or harm other users •Impersonate any person or entity

Technical Prohibitions: •Attempt to gain unauthorized access to our systems •Use automated scripts or bots without permission •Interfere with the proper functioning of the Platform •Circumvent any security measures or access controls •Reverse engineer or decompile our software

Commercial Prohibitions: •Resell tickets above face value (scalping) •Use the Platform for unauthorized commercial purposes •Scrape or harvest user data •Send unsolicited communications to other users

Our Intellectual Property: The Platform and its contents, including but not limited to text, graphics, logos, icons, images, and software, are owned by PRESTIX or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Limited License: We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes in accordance with these Terms.

User Content: You retain ownership of content you submit to the Platform. By submitting content, you grant us a worldwide, royalty-free license to use, reproduce, modify, and display your content in connection with operating the Platform.

DMCA Policy: We respond to notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act (DMCA). If you believe your copyrighted work has been infringed, please contact us at legal@prestix.com.au.

Platform Provided "As Is": THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

No Guarantee: We do not guarantee that: •The Platform will be uninterrupted or error-free •Defects will be corrected •The Platform is free of viruses or harmful components •The results of using the Platform will meet your requirements

Third-Party Content: We are not responsible for third-party content, including event listings, user-generated content, or linked websites.

Event Disclaimer: We are a ticketing platform and are not the organizers of events listed on our Platform. We are not responsible for: •The quality, safety, or legality of events •The accuracy of event information •The conduct of event hosts or attendees •Any incidents occurring at events

Limitation: TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRESTIX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

Cap on Liability: OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED AUSTRALIAN DOLLARS (AUD $100).

Exceptions: Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless PRESTIX and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

•Your use of the Platform •Your violation of these Terms •Your violation of any rights of another party •Any content you submit to the Platform •Any event you host through the Platform

Informal Resolution: Before filing a formal legal claim, you agree to contact us at legal@prestix.com.au to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions.

Jurisdiction: Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.

Class Action Waiver: To the extent permitted by law, you agree that any disputes will be resolved on an individual basis and you waive any right to participate in a class action lawsuit or class-wide arbitration.

Entire Agreement: These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and PRESTIX regarding the Platform.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, or government actions.
